1. Agreement to These Terms

These Terms & Conditions ("Terms") govern all services provided by Code Compliant SEO LLC, a Pennsylvania limited liability company ("we," "us," "our"), through codecompliantseo.com, including website design, hosting, local SEO, content, advertising management, and related services (the "Services"). By submitting an order form, making a payment, or otherwise engaging our Services, you ("you," "Client") agree to these Terms.

2. Our Services

One-Time Website Builds

• A mobile-first professional website for one business, built from the materials you provide. Two levels of coverage are offered: the Starter build at $499 covers your services plus up to five towns, each town with its own page. The Growth build at $799 covers your services plus up to ten towns and includes Google Business Profile setup and optimization. The Premium build at $1,299 covers your services plus up to twenty towns and adds Bing Places and Apple Business Connect.
• Pricing: half the build price as a deposit to start, the balance due on delivery.
• Timeline: the delivery clock starts when we have received your deposit and all required materials (business details, licensing and insurance documentation, logo, and photos). Incomplete materials pause the clock.
• Revisions: two rounds are included on the Starter build and three on the Growth build, requested within 14 days of the preview being delivered. Additional revisions or scope changes are quoted separately or billed at $75/hour.
• Additional towns: further town pages beyond the coverage included in your build are $150 each and may be added at any time.
• Hosting and maintenance is included on every monthly plan. It is sold separately at $59/month only to clients who already have a website and want it hosted and maintained without a plan. Hosting and Maintenance is $59/month and includes hosting, SSL certificate, uptime monitoring, backups, security updates, domain registration and DNS management, and four content updates per month. A content update means a change to text, photos, hours, pricing, or the service list on an existing page, requested by email or text and completed within three business days. Unused updates do not roll over. New pages, redesigns, and SEO work are not included and are quoted separately. You may cancel hosting at any time, in which case you may take your site files and host them anywhere, and the site is removed from our servers at the end of the billing period.
• Domains: where we register a domain for you as part of an active Hosting and Maintenance plan or monthly plan, it is registered in your business name and you are the owner of record. The registration fee is covered while your plan is active. If you cancel, you may keep the domain: we will release it to a registrar account of your choosing at no charge, and you become responsible for the renewal fee at the next renewal date. Under ICANN rules a domain cannot be transferred between registrars for 60 days after it is registered or transferred; this is a registry restriction, not our policy. Moving a finished site onto a domain you already own is included at no charge with every build and every monthly plan.
• Site migration: moving a completed site onto a domain you already own is included at no charge with every build and every monthly plan. This covers DNS configuration, SSL, redirects from existing pages, and preservation of your existing email records. It does not include design changes or content rewrites.

Monthly Plans (Starter, Growth, Premium)

• Monthly plans include the website build, hosting and maintenance, site migration onto a domain you already own, local SEO, content, and the management services described on our website and in your order confirmation.
• Setup fee: the one-time build fee is due at signup and is the only one-time charge. On a month-to-month plan the full build fee applies: $499 Starter, $799 Growth, $1,299 Premium. On a six-month term the build fee is halved to $249, $399 or $649. On a twelve-month term the build fee is waived. Where a term has been agreed, the plan may not be cancelled before the end of that term, and if it is, the remaining monthly balance of the term becomes due immediately. This is the condition on which the build fee is reduced or waived.
• Initial term: all plans carry a six-month initial term beginning on the date of your first monthly payment. After the initial term the plan continues month to month and may be cancelled at any time as described in Section 6. If you cancel during the initial term, the remaining months of that term become immediately due, because the website build is delivered up front and carried in the monthly rather than charged as a build fee.
• Additional towns: town pages beyond the coverage included in your plan are $150 each and may be added at any time.

Add-On Services

Additional pages, blog posts, video SEO, additional locations, Google Ads management, social platforms, email marketing, and branding packages are available at the prices listed on our website or quoted to you. Google Ads management fees cover our management work only. Your ad spend is paid directly to Google and is separate from our fees.

3. Payment Terms

• All payments are processed through Stripe via our official payment links. We do not accept cash payments through referral partners or any other third party.
• Monthly plan and hosting fees bill automatically each month until cancelled.
• Work may be paused on accounts with failed or overdue payments. Websites hosted by us may be taken offline for accounts more than 30 days past due, and restored upon payment.
• Prices may change for future orders; active clients will receive at least 30 days' notice before any price change affects them, and no price change applies during an initial term already underway.

4. Refunds & Cancellations of Builds

• Website build: the deposit becomes non-refundable once design work has begun. If you cancel before work begins, your deposit is refunded in full. The balance is only due when your site is delivered.
• If we fail to deliver your website, you are entitled to a full refund of everything you've paid for that build.
• Monthly services: fees for a month in which services have been performed are non-refundable. Cancelling stops future billing. It does not refund the current month.
• Chargebacks filed in place of contacting us to resolve an issue may result in suspension of services and removal of hosted websites.

5. Your Responsibilities

• You are responsible for providing accurate business information, including licensing details, and for supplying materials (logo, photos, text) in a timely manner.
• You represent that you own or have the right to use all materials you provide (including photos, logos, and written content) and that your business information (including any license numbers) is truthful.
• You agree to indemnify us against claims arising from materials you supplied or from inaccurate business claims you asked us to publish.

6. Cancelling Monthly Services

• You may cancel hosting or any add-on at any time by emailing or texting us. Cancellation takes effect at the end of the current billing period.
• Monthly plans may be cancelled at any time after the six-month initial term described in Section 2. Cancellation takes effect at the end of the current billing period. Cancelling during the initial term makes the remaining months of that term immediately due.
• Upon cancellation, we will provide your website files, and cooperate in transferring your domain and Google Business Profile to your control if we manage them.
• We may discontinue services with 30 days' notice, in which case we'll deliver all your property and assets in an orderly handoff.

7. Ownership

• You own your website, your domain, and your Google Business Profile once paid for in full. If we part ways, everything stays yours.
• Content we create for you (pages, blog posts, graphics) belongs to you once paid for.
• We retain the right to reuse general design frameworks, code libraries, and techniques across projects. This never includes your brand, content, photos, or business information.
• We may display work we built for you in our portfolio and marketing, and delivered websites may include a small "Optimized by Code Compliant SEO" credit link in the footer. You may request its removal.

8. SEO & Results Disclaimer

We'll give it to you straight, same as we do everywhere else: no one can guarantee specific Google rankings, traffic numbers, or lead volume, and anyone who does is lying to you. Search engines control their own results. What we commit to is performing the work described in your plan competently and consistently. Meaningful SEO movement typically takes 3–6 months. Website delivery timelines are real commitments; ranking outcomes are not guarantees.

9. Referral Program

We pay commissions to independent referral partners who send us clients. Referral partners are independent referrers, not our employees or agents. They are not authorized to collect payments, modify pricing, or make promises beyond what is published on our website. Referral tracking is based on the "Who Referred You?" field on our forms or a direct introduction to us; commissions are paid only on collected, non-refunded revenue. Full partner terms are provided in the Referral Partner Agreement.

10. Third-Party Services

Our Services rely on third-party platforms including Stripe, Netlify, Google, and domain registrars. We are not responsible for outages, policy changes, or actions of these platforms, though we'll always work to resolve issues they cause. Fees charged directly by third parties (domain registration, ad spend, etc.) are your responsibility unless stated otherwise.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from the Services is limited to the amount you paid us in the three (3) months before the claim arose. We are not liable for indirect, incidental, or consequential damages, including lost profits, lost business, or lost data. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Governing Law & Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Bucks County, Pennsylvania. Before filing anything, contact us. We resolve issues directly, and quickly.

13. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised "Last updated" date. Continued use of the Services after changes constitutes acceptance. Material changes affecting active monthly clients will be communicated with at least 30 days' notice.
